Reservation Terms
Version 1.0 · effective 9 October 2026
These terms apply to the £250 reservation of a specified listed business at its advertised asking price. They should be displayed in full before the buyer pays. This is a binding contractual commitment, not a no-obligation expression of interest.
3.1 The bargain
In exchange for a £250 reservation fee, the seller agrees to remove the identified business from active sale and grant the buyer seven calendar days of exclusivity from successful payment. The buyer commits to purchase the identified business at the advertised GBP asking price, subject to these terms, the agreed asset schedule, the seller being able to deliver the agreed assets, and applicable law. Reservation is not a means to hold the business while negotiating a lower price.
3.2 Fee and credit
The £250 is payable by card when the reservation service is available. On completed purchase it is credited against the business purchase price, not against optional support. The remaining purchase price and selected support must be paid using the permitted checkout method within the applicable reservation deadline unless the parties agree an extension in writing.
3.3 Exclusivity and seller obligations
While an active reservation remains in force, the seller will not knowingly complete a sale of the reserved business to another buyer. The seller must act in good faith, accurately disclose material known limitations affecting the promised assets, and cooperate reasonably in agreeing the transaction-specific APA and transfer schedule.
3.4 Buyer obligations
The buyer must provide accurate identity and transaction details, promptly review the disclosed asset schedule, cooperate with reasonable due diligence and APA signing, and arrange cleared payment by the deadline. The buyer must not use reservation to seek a lower purchase price than the advertised asking price.
3.5 Expiry and forfeiture
If the buyer does not complete by the seven-calendar-day deadline because of the buyer’s failure or refusal to perform, and the seller has been ready, willing and able to perform its material obligations, the reservation may expire, exclusivity ends, and the £250 may be retained as the agreed charge for the exclusivity and opportunity cost, to the extent lawful and enforceable. The fee is not automatically forfeited where the seller materially breaches the agreement, cannot transfer material promised assets, materially misrepresents the sale, or where a refund is otherwise required by law.
3.6 Seller failure and refunds
If the seller withdraws the business during an active reservation without a contractually permitted reason, sells it to another buyer in breach of exclusivity, or cannot deliver material agreed assets, the buyer may terminate and receive a refund of the £250, without prejudice to any other remedies available under applicable law or the final APA. Any refund should be processed promptly to the original payment method where possible.
3.7 Extension and cancellation
An extension is effective only if confirmed by the seller and recorded in the reservation system; the revised deadline then applies. The buyer cannot unilaterally extend the seven-day period. The parties may mutually agree to cancel or vary the arrangement in writing. Mandatory statutory rights are unaffected.
3.8 No immediate ownership transfer
Reservation provides exclusivity and a contractual obligation to purchase; it does not transfer the domain, code, business assets, accounts or intellectual property. Transfer occurs under the purchase/APA and handover process.
3.9 Order of terms
The specific business name, advertised asking price, reservation start time, expiry timestamp and buyer details shown at checkout form part of this reservation agreement. If a signed APA expressly supersedes a reservation provision, that agreed provision governs the completed acquisition, subject to applicable law.
