Purchase Terms

Version 1.0 · effective 9 October 2026

These Purchase Terms govern proposed acquisitions of listed online businesses and assets from Nick Wilson trading as Nick Does Business. A business-specific Asset Purchase Agreement (APA), when signed, sets out the precise assets and completion conditions. If an APA expressly conflicts with these terms for a transaction, the signed APA prevails to the extent of that conflict, except where law requires otherwise. 2.1 Eligibility and buyer declarations Our business-sale process is intended for persons purchasing for purposes relating to their trade, business or profession. You must be at least 18, have legal capacity and, if representing an organisation, authority to bind it. You must provide accurate details. A declaration does not remove any mandatory legal protections applicable to your actual circumstances. 2.2 Listings, price and scope Prices are stated in pounds sterling (GBP). The advertised business price excludes optional post-handover support unless expressly stated. Only assets expressly included in the final agreed asset schedule and which the seller is entitled to transfer are included. The listing is descriptive information, not a guarantee of future earnings or market demand. 2.3 How purchases are formed Submitting Buy Now details and accepting these terms creates a purchase request; it is not yet a binding contract. Where you have an active paid reservation, the Reservation Terms already bind you to purchase at the advertised asking price. A binding purchase contract between you and the seller is formed when the seller confirms in writing that your payment of the full balance (after credit for any reservation fee) has been received in cleared funds. Ownership of the business and its assets does not pass on payment; it passes only on completion under the signed Asset Purchase Agreement and the handover process. If the seller cannot accept your payment, it will be returned in full. 2.4 Payment The purchase price and any selected support are payable in GBP. Card payments are only available once enabled and confirmed by the payment provider. Bank transfer details are released only under the implemented protected process after the required £250 reservation has been successfully paid. You must quote the supplied reference; the full GBP amount must be received without deductions for intermediary, conversion or transfer fees. A transfer instruction or screenshot is not cleared funds. We will confirm receipt and update the transaction record. Our written confirmation of receipt forms the contract under clause 2.3. 2.5 Reservation credit Where a reservation has been paid, the £250 is credited against the agreed business purchase price on completion. The reservation does not reduce the separate fixed price of optional support. 2.6 Asset transfer and third parties Transfer may involve domain transfer, code/repository delivery, brand files, documentation and migration of systems. Personal master accounts, unrelated infrastructure, API keys, payment-provider accounts and non-transferable third-party licences are not included unless a specific lawful transfer is expressly agreed. You may need to establish your own hosting, billing, email and AI accounts and pay their ongoing costs. Any customer or other personal data will be transferred only following a separate lawful-basis and necessity assessment; historical consumer images and visualisations are not automatically included. 2.7 Handover and completion After confirmed cleared payment, we aim to begin handover within two business days. The handover checklist identifies seller, buyer and joint steps. Buyer cooperation, identity checks and third-party processing may be required. Operational handover is marked complete in the buyer portal after required tasks and confirmations. The legal point of transfer of title and risk for each asset must be specified in the signed APA; an administrative portal status alone is not conclusive proof of legal title. 2.8 Due diligence, representations and warranties You should review the stated assets, operating costs, platform condition and disclosed commercial position before committing. Except for warranties expressly included in a signed APA, no promise is made that the business will attract customers, generate revenue or achieve illustrative scenarios. Nothing excludes liability for fraud, fraudulent misrepresentation or any other non-excludable liability. The seller must have authority to sell the assets expressly promised and must disclose material known transfer restrictions. 2.9 Delays, breach and remedies If either party cannot perform, they should notify the other promptly and cooperate on a reasonable solution. The signed APA should specify cure periods, material-breach rights, refunds, termination and dispute procedures. The seller must not retain a reservation payment merely because completion failed through the seller’s material breach or inability to deliver agreed assets, subject to applicable law and the final reservation agreement. 2.10 Liability Any contractual liability cap, exclusions and warranties must be negotiated and set out in the transaction-specific APA, rather than inferred from this generic website text. No clause limits liability for fraud, death or personal injury caused by negligence, or other liability that cannot lawfully be excluded. 2.11 Governing law and contact English and Welsh law applies, subject to non-excludable mandatory protections and jurisdiction rules.
